DISH Network “This Festive Season” Sweepstakes

DATES OF PROMOTION:
The DISH Network “This Festive Season” Sweepstakes (the “Sweepstakes”) beginsat 12:01 a.m. Eastern Time (ET) on September 25, 2007 and ends at 11:59 p.m. ET on January 31, 2008 (the “Sweepstakes Period”).

ELIGIBILITY:
The Sweepstakes is open to legal U.S. residents residing in any of the 50 United States or theDistrict of Columbia, who are 21 years of age or older and have a unique, personal and valid social security number at the time of entry. Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) of EchoStar Satellite, L.L.C (the “Sponsor”), and each of their respective parent companies, divisions, affiliates, contractors, subsidiaries, distributors, sales representatives, retailers, advertising and promotion agencies, and any others engaged in the
development, production, execution or distribution of this Sweepstakes, including but not limited to, The National Sweepstakes Company (the “Sweepstakes Administrator”), and Dreamakers (the “Entertainment Company”) herein (the “Sweepstakes Entities”), are not eligible to participate. Sweepstakes is void in Puerto Rico, U.S. territories and possessions, outside of the 50 United States, and where restricted or prohibited by law.

HOW TO ENTER: The maximum number of entries allowed during the Sweepstakes Period is two (2) per person / household regardless of the method in which you choose to enter the Sweepstakes, either via; (A) the “South Asian Mega Pak” Service; (B) the “Pak Mega Pak” Service; (C) the Alternate Method of Entry; or (d) a combination of any two (2) entry methods.

There are three (3) ways to earn entry into the Sweepstakes:
A) “South Asian Mega Pak” Service:
There are two (2) ways to enter the Sweepstakes via the “SouthAsian Mega Pak” Service. The Maximum number of entries that may be earned via the “South Asian Mega Pak” Service is one (1) per person/household:
a. EXISTING SUBSCRIBERS:
Subscribers who have subscribed to the “South Asian MegaPak” service prior to September 25, 2007, will automatically receive one (1) entry into the Sweepstakes.
b. NEW SUBSCRIBERS: New Subscribers who have subscribed to the “South Asian Mega Pak” service during the Sweepstakes Period will automatically earn one (1) entry into the Sweepstakes.
B) “Pak Mega Pak” Service:
There are two (2) ways to enter the Sweepstakes via the “Pak Mega Pak”Service. The Maximum number of entries that may be earned via the “Pak Mega Pak” Service is one (1) per person/household:
a. EXISTING SUBSCRIBERS:
Subscribers who have subscribed to the “Pak Mega Pak”service prior to September 25, 2007, will automatically receive one (1) entry into the Sweepstakes.
b. NEW SUBSCRIBERS: New Subscribers who have subscribed to the “Pak Mega Pak” service during the Sweepstakes Period will automatically earn one (1) entry into the Sweepstakes.
C) Alternate Method of Entry:
On a plain 3” x 5” card, legibly handprint or type your full name, age,complete physical address(No PO Boxes), city, state, zip code, home phone number (including area code), and email address (if any). Then, mail your 3” x 5” card in a postage-affixed sealed envelope to: “This Festive Season” Sweepstakes, 1878 East Avenue, Rochester, NY 14610. Mail entries must be postmarked by January 31, 2008 and received by February 7, 2008. The maximum number of entries that may be earned via the Alternate Method of Entry is two (2) entries per person/household. Each envelope is considered one (1) entry. Computer generated calls, pay phone calls, and calls that originate outside of the US will not be accepted. No mechanically or programmatically reproduced entries are permitted. Neither the Sponsor nor The National Sweepstakes Company (the “Sweepstakes Administrator”) will verify receipt of entries for entrants. All entries submitted become the sole property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, misdirected, illegible, or damaged mailed entries, faulty phone connections, disconnected calls, sound quality or any other technical malfunction of any entry made via Telephone.

DRAWING
: On or about February 25, 2008, prize winners will be selected from among all eligible entriesreceived during the Sweepstakes Period, by the Sweepstakes Administrator, an independent judging organization, whose decisions are based upon their sole discretion and interpretation of these Official R ules, and are final and binding in all respects. Odds of being selected as a prize winner are dependent upon the number of eligible entries received. Upon verification, each potential Prize winner will be notified by telephone. Telephone notifications will take place the week following the Random Drawings, between the hours of 8:00 am (ET) and 5:00 pm (ET), Monday through Friday. If potential Prize Winners can not be reached within three (3) business days via telephone, he / she will be disqualified and an alternate winner will be selected (Please Note: Potential Prize Winning notifications will not be left on answering machines).

PRIZES:
Grand Prize: One (1) Grand Prize
of a 2008 Mercedes Benz C300 Luxury Sedan , having a ManufacturerSuggested Retail Price (the “MSRP”) of $38,000 (Vehicle Color, Options and Accessories to be determined at the sole discretion of the Sponsor). Winner must have and provide a valid U.S. Driver’s License and provide proof of existing Car Insurance Coverage (Comprehensive or Liability) at time of delivery. The Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations including, but not limited to licensing and insurance requirements. The value of the Grand Prize is taxable as income. Grand Prize Winner will be solely responsible for any applicable registration, license, title and insurance fees, all taxes (federal, state, local and/or income) and any expenses not listed herein related to the acceptance and use of the Grand Prize.

First Prize: One (1) First Prize of a “His and Hers” Rado Watch set will be awarded. The Approximate RetailValue (ARV) of the First Prize is $2000.
Second Prizes: Twenty (20) Second Prizes of a $500 CitiBank Cashier’s check will be awarded. The “ARV” ofeach Second Prize is $500. The total ARV of all Second Prizes to be awarded is $10,000. The total ARV of all prizes to be awarded is $50,000. Limit of one (1) Prize per person/household. No Prize substitution, except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor reserves the right to substitute a Prize of equal or greater value if Prize becomes unavailable due to reasons beyond the control of the Sponsor. Prizes are not transferable prior to award. The value of all prizes are taxable as income and Prize Winners are solely responsible for any taxes on the Prizes, including, but not limited to all applicable federal, state and local taxes. No more than the number of prizes set forth in these Official Rules will be awarded. All prizes will be awarded.

Names of prize manufacturers are used solely for the purposes of identification of the prize. No endorsement, authorization, sponsorship, or approval of prize manufactures for this Promotion is intended or implied.
PRIZE CLAIMS:
After first being contacted by telephone, and except where prohibited, potential Grand and FirstPrize winners must sign and return to Independent Sweepstakes administrator, within seven (7) days of receipt, an affidavit of eligibility/liability/publicity release (the “Release”) in order to claim prize. If potential Grand and First Prize Winners fail to return the signed Release and/or driver’s license within seven (7) days of receiving it, potential Grand and/or First Prize winner forfeits their right to the Prize and another winner will be selected. Potential Grand and First Prize winners must report income to the Internal Revenue Service. In the event it is deemed during the verification process that potential Grand and/or First Prize winner does not have a unique, personal and valid social security number for Sponsor to report the tax liability associated with acceptance of the prize, potential Grand and/or First Prize winner will be disqualified and another winner selected . Valid socialsecurity numbers will be determined by IRS requirements.

Potential Grand and First Prize Winner (s) consentto use of his/her name, likeness, biographical information, and voice in advertising worldwide without additional compensation (TN residents will not be required to sign a publicity release as a condition of winning a prize). All taxes on the Grand and First prizes are the sole responsibility of the Grand and First Prize winners.

GENERAL RULES OF PARTICIPATION:
By participating in this Sweepstakes, entrants, and winners releaseeach and all of the Sweepstakes Entities, from any and all liability, damages or causes of action (however named or described) with respect to or arising out of participation in the Sweepstakes, and/or the receipt or use/misuse of the prizes awarded, including, without limitation, liability for personal injury, death or property damage. By participating in this Sweepstakes, entrants agree to be bound by these Official R ules and the decisions of the judges, which are final in all respects and not subject to appeal. Sponsor reserves the right permanently to disqualify from this Sweepstakes any Entrant it believes has violated these Official R ules. All federal, state and local laws apply. In the event any portion of this Sweepstakes is compromised by activities beyond the control of the Sponsor which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of this Sweepstakes, Sponsor reserves the right at its sole discretion to modify, suspend or terminate the Sweepstakes. Winning a prize constitutes permission for Sponsor and its agencies to use winners' names, addresses (city & state), voices and/or likenesses for purposes of advertising, promotion and publicity, for this Sweepstakes only, without further compensation, unless prohibited by law. Sponsor and/or Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable or incomplete entries, whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and randomly draw from those entries received up to the cancellation/suspension date.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
NO LIABILITY:
By participating, entrants agree to release, discharge, indemnify and hold harmless the Sponsorand Sweepstakes Entities and each of their respective officers, directors, employees, representatives and agents from and against any claims made by winners, entrants, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance,
possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes.

PRIVACY POLICY/AUTOMATIC ENTRY REMOVAL REQUEST:
Information collected from entrants issubject to the Sponsor’s Privacy Policy available at www.dishnetwork.com. If you are a subscriber of Dish Network programming and wish not to be automatically entered and participate in the sweepstakes, please send a request for removal to: Dish Network “This Festive Season” reference Entry Removal, 1878 East Avenue, Rochester, NY 14610. Removal Requests must be received by January 31, 2008 in order to ensure removal from the Sweepstakes.

INDEPENDENT SWEEPSTAKES ADMINISTRATOR:
This Sweepstakes is being administered by TheNational Sweepstakes Company, 693 East Ave., Rochester, NY 14607, who is responsible for overseeing the awarding of all prizes, and whose decisions are final in regard to the conduct of this Sweepstakes.
